Guidelines of conduct, as expressed on the website of the Institute for Global Ethics, represent the spirit of Seeking and Finding LLC and SeekingandFinding.com. These guidelines are:

Values Statement: SeekingandFinding.com is a website that facilitates connections among people with high morals and ethics. By participating on this website, it is expected that you and/or your S&F operate in accordance with such values and principles.
Agreement: This is a legal agreement (“Agreement”) between you the (“Member”) and Seeking and Finding LLC (“S&F”). Please read the Agreement carefully before registering for the Service. The following discloses S&F's information gathering and dissemination practices for this website: www.seekingandfinding.com (“Site” or “Service”). By registering for the Service, you become a Member of the Service (a “Member”) and hold a Membership (“Membership”) with the S&F. Thus, you agree to be bound by the Terms and Conditions of this Agreement (the “Terms”) for as long as you continue to be a Member. If you do not agree to the terms, please do not register for the Service. The terms are subject to change by S&F at any time without notice. Revision dates shall be posted, and it is recommended that members stay abreast of changes as posted.
Seeking and Finding LLC (“S&F”), owns and manages its website SeekingandFinding.com (the “Service”) and is located at 8300 East Raintree Drive, Suite 100, Scottsdale, Arizona 85260.
Deliverables: S&F will provide Services, as outlined on the Order and/or Subscription (“Order”) in exchange for payment, subject to the conditions and provisions contained in this Agreement.
Term: Deliverables will be provided for the length of term designated on the Subscription. Subsequent Subscriptions are subject to the provisions contained in this Agreement. If either Member or S&F breaches any condition or provision of this Agreement, and fails to remedy such breach within thirty (30) days following written notice of such breach, the other party may terminate this Agreement. Member will be entitled to a prorated refund of any payment for the Deliverables scheduled for delivery after the date of termination.
Payment: Payment is due in advance of Services. The amounts payable under this Agreement do not include any local, state, or federal sales, use, excise or personal property or other similar taxes or duties. The Member shall pay any such taxes.
References (Applicable only to Banner Advertisements): Member agrees to provide two unrelated business references to S&F, and acknowledges that S&F may contact these references and that S&F may also contact the local Better Business Bureau or appropriate professional association in order to perform a background inquiry.
Rights: S&F reserves the right to refuse Service to any person or business for any reason. This includes, but is not limited to deleting, editing or refusing to publish information, text, graphics, pictures, photos, or any other material S&F deems inappropriate for display on our website.
Ownership of all copyrights and other proprietary rights are retained by S&F and/or its licensors or third-party providers except for information supplied by the Member. The Member grants S&F permission to use Member's name and likeness in S&F Member lists and Site related publications and advertisements. S&F will NOT sell, transfer, or provide any other Member information without consent of Member. Regarding information provided by the Member, Member retains copyrights, ownership of all information and other proprietary rights. Member assumes all responsibility for ownership, accuracy, and warranty of information provided.
Refund: No refunds will be given for People Memberships.
Minors May Not Become Members. By becoming a Member, you represent and warrant that you are at least 18 years old. S&F cannot guarantee that each Member is at least the required minimum age, nor do we accept responsibility or liability for any content, communication or other use or access of the Service and/or Site by persons under the age of 18 in violation of these Terms.
Termination: Either you or S&F may terminate your Membership at any time, for any reason, without explanation, effective upon sending written notice to the other party. S&F reserves the right to immediately suspend or terminate Member access to the Service, without notice, upon any breach of this Agreement by Member which is brought to the S&F's attention. Causes for such termination shall include, but not be limited to, a) breaches or violations of this Agreement or other incorporated agreements or guidelines, b) as requested by law enforcement or other government agencies, c) a request by you (Membership Cancellation or Inactivation), d) discontinuance or material modification of the Site and or Service (or any part thereof), e) unexpected technical issues or problems. Termination of your Membership includes a) removal of access to all offerings within the Service b) deletion of your password and all related information, files and content associated with or inside your account (or any part thereof), and/or c) barring further use of the Service.
S&F reserves the right to change any fees or charges for using the Service, change the Site, including eliminating, adding, and/or discontinuing any content or feature of the Site, without notice.
Registration: To become a Member you must register with S&F. By registering to become a Member, you agree to provide accurate, current and complete information about yourself as prompted by the registration form (“Registration “), and to maintain and update your information to keep it accurate, current and complete. Furthermore, you agree that S&F may rely on your Registration to be accurate, current and complete. You acknowledge that if your Registration is untrue, inaccurate, not current or incomplete in any respect, S&F may terminate this Agreement, your Membership, and your use of the Service and/or the Site.
You will receive a password and account designation upon completing the Registration. You are responsible for maintaining the confidentiality of the password and the account, and are fully responsible for all activities that occur under your password or account. You agree to a) immediately notify S&F of any breach of security, and b) ensure that you exit from your account at the end of each session by clicking on the “Logout” button. S&F cannot and will not be liable for any loss or damage arising from your failure to comply with this.
Your Membership with the Service is for your sole, personal use only. You may not authorize others to use your Membership, and you may not assign or otherwise transfer your account to any other person (Member or non-Member) or entity.
You agree that you will not post, distribute, reproduce, or make available in any way, content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethically or otherwise objectionable.
You agree that you will not impersonate any person or entity.
You agree that you will not “stalk” or otherwise harass any person.
You agree that you will not express or imply that any statements you make are endorsed by S&F, without S&F's specific prior written consent.
You agree that you will not use any robot, spider, Site search/retrieval application, or any other manual or automatic device or process to retrieve, index, “data mine”, or in any way reproduce or circumvent the navigational structure or presentation of the Site or its contents.
You agree that you will not post, distribute, reproduce, or make available in any way, any copyrighted material, trademarks, or other proprietary information without obtaining the prior written consent of the owner.
You agree that you will not post, distribute, reproduce, or make available in any way, material that is unauthorized advertising, promotional materials, “junk mail”, “spam”, “chain letters”, or “pyramid schemes”.
You agree that you will not remove any copyright, trademark or other proprietary rights notices contained in the Site.
You agree that you will not interfere with or disrupt the Services, or the Site, or the servers, or networks Connected to the Services and/or the Site.
You agree that you will not post, email, or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
You agree that you will not forge headers or otherwise manipulate identifiers in order to disguise the origin of any information transmitted through the Service and/or the Site.
You agree that you will not “frame” or “mirror” any part of the Site, without our prior written authorization from the S&F. You also agree that you will not use meta tags, or code, or other devices containing any reference to S&F or the Service or the Site in order to direct any person to any other website for any purpose.
You agree that you will not modify, adapt, sublicense, translate, sell, reverse engineer, decipher, decompile or otherwise disassemble any portion of the Site or any software used on or for the Site or cause others to do so.
Indemnity By Member: You will defend, indemnify, and hold harmless S&F, its officers, directors, employees, agents, affiliates and third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) directly or proximately caused by or arising out of your use of the Service and/or the Site, including: (i) your breach of this Agreement; (ii) any allegation that any materials that you submit to S&F or transmit to the Site infringe or otherwise violate the copyright, trademark, trade secret or other intellectual property or other rights of any third party; and/or (iii) your activities in connection with the Site. This indemnity shall be applicable without regard to the negligence of any party, including any indemnified person.
The personal information (including sensitive personal information) you provide to S&F will be stored. You consent to S&F using this information to build up a profile of interests, preferences and browsing patterns and to allow you to participate in the Service and use of the Site. All Members also agree to uphold and maintain S&F's Privacy Policy and to the Terms and Conditions thereof. You are advised to read a full description of S&F's Privacy Policy.
You specifically acknowledge and agree that S&F disclaims all liability, regardless of the form of action, for the acts or omissions of other Members or users (including unauthorized users, or “hackers”) of the Service and/or Site.
General Provisions: This Agreement, accepted by you upon registering for the Service and/or Site, is an agreement between you and S&F regarding the Service and the Site, including the Privacy Policy. In the event of any conflict between the Privacy Policy and these Term, this Agreement shall supercede the Privacy Policy. Unless otherwise explicitly stated, the Terms will survive termination of your membership to the Service. This Agreement shall terminate immediately and without notice if you breach any of the Terms, subject to the survival of all rights and reservations of S&F. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect.
Online Content: Opinions, advice, statements, offers, or other information or content made available through the Service and/or Site, but not directly by the S&F, are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for such content. SeekingandFinding.com does not guarantee the accuracy, completeness, or usefulness of any information on the Service of any party other than S&F and neither adopts nor endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made by parties other than S&F. Under no circumstances will S&F be responsible for any loss or damage resulting from anyone's reliance on information or other content posted on the Service and/or Site, or transmitted to Service members and/or users.
Advertisers: Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Service, including payment and delivery of related goods or Services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser. You agree that S&F shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Service.
Recognizing the global nature of the Internet, you agree to comply with all local rules regarding online conduct and acceptable Content. Specifically, you agree to comply with all applicable laws regarding the transmission of technical data exported from the United States or the country in which you reside. This agreement shall be construed under the laws of Arizona. You agree that you will not intentionally or unintentionally violate any applicable local, state, national, or international law.
Unauthorized Users: It is possible that other Members or Users (including unauthorized users, or “hackers”) may post or transmit offensive or inappropriate materials on the Service and that you may be involuntarily exposed to such offensive and inappropriate materials. While S&F makes every effort to check all postings and materials on the Site, S&F is not responsible for information provided by advertiser nor for the accuracy of the content therein. SeekingandFinding.com is not responsible for the use of any personal information that you disclose on the Service and/or Site. Please carefully select the type of information that you post on the Service and/or Site or release to others.
S&F reserves the right, but has no obligation, to monitor the materials posted in the public areas of the Service and/or the Site. S&F shall diligently attempt to continually monitor the Site listings S&F shall have the right to edit, remove or refuse any such material that in its sole opinion violates, or appears to violate, the law or this agreement. Notwithstanding this right of S&F, you remain solely responsible for the content of the materials you post in the public areas of the Service and/or the Site and in your private e-mail messages. E-mails sent between you and other Service members that are not readily accessible to the general public will be treated as private by S&F to the extent allowed by applicable law. Under no circumstances will S&F be liable in any way for any content, or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted or otherwise made available via the Service.
Proprietary Rights: S&F owns and retains other proprietary rights in the Service and on the Site. The Site contains the copyrighted material, trademarks, and other proprietary information of S&F, its licensors and licensees. In addition, other Members may post copyrighted information, which has copyright protection whether or not it is identified as copyrighted. Except for that information which is in the public domain or for which you have been given permission, you will not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information. By posting information or content to any public area of the Site, you automatically grant, and you represent and warrant that you have the right to grant, to S&F and other Service Members an irrevocable, perpetual, non-exclusive, fully-paid, worldwide license(s) to use, copy, perform, display and distribute such information and content and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing. This license exists only for as long as you elect to continue to include such content on the Site and will terminate at the time you remove or S&F removes such content from the Site.
Information Supplied By Member: S&F will keep confidential that private information supplied by you to S&F, including credit card number(s), and shall use or disclose such information only for the purposes a) for which such information was collected, b) as required by law, c) to enforce the Agreement, d) to protect the rights, property, or personal safety of S&F, its Users, Members, and the public. Disclaimer Of Warranty: All Deliverables are provided to the general public based solely on the information provided by Member. Member assumes all liability for inaccuracies, completeness, and ownership of information. S&F provides a web-based Service on an “as available” basis and does not guarantee any particular Service level. S&F expressly disclaims all warranties, express or implied, statutory or otherwise, including, without limitation, any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness or adequacy of information. S&F provides the Service on an “as is” basis and grants no warranties of any kind, expressed, implied, statutory, in any communication with S&F or its representatives, or otherwise with respect to the Service and/or Site. S&F specifically disclaims any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. S&F does not warrant that your use of the Service and/or Site will be secure, uninterrupted, always available, or error-free, or will meet your requirements, or that any defects in the Service and/or Site will be corrected. S&F disclaims liability for, and no warranty is made with respect to, connectivity and availability.
Limitation Of Liability: In no event will S&F be liable to you for any incidental proximate, consequential, or indirect damages (including, but not limited to, damages for loss of data, loss of programs, cost of procurement of substitute Services or Service interruptions) arising out of the use of or inability to use the Service and/or Site, even if S&F or its agents or representatives know or have been advised of the possibility of such damages, or to any person other than you. Notwithstanding anything to the contrary contained herein, S&F's liability to you for any cause whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to S&F for the Service during the term of membership. The total liability of S&F, S&F's employees, S&F's contractors, and S&F's third-party providers arising out of this agreement and the Deliverables under all theories of liability shall be limited to the fees paid by the Member to S&F for such deliverables in the most recent subscription period as designated on the Subscription. S&F shall not be liable for consequential, indirect, special, incidental or punitive damages. In addition, neither party shall be liable for any damages occurring by reason of any circumstances beyond their reasonable control
S&F will review the ad content submitted by members registering to the Service and the Site. S&F will not be liable for any damages, direct, indirect, incidental and/or consequential, arising out of the use of this Service and/or Site, including, without limitation, to damages arising out of communicating and/or meeting with other members of this Service, or introduced to you via this Service. Such damages include, without limitation, physical damages, bodily injury and or emotional distress and discomfort.
IN WITNESS WHEREOF, Member and S&F have executed and delivered this Agreement, including Limitation of Liability and Disclaimer of Warranty, which will be governed by and construed according to the laws of the State of Arizona without reference to conflict of law principles.
